Amazon Takes a Stake in Its Next Chip Supplier

Qualcomm's multi-generation deal with Amazon comes with a warrant on 25 million shares that vests against up to $60 billion of purchases. Hyperscalers are now financing their alternatives to Nvidia with equity.

The most interesting number in Qualcomm's Amazon announcement is not in the press release. It is in the 8-K filed the same day: a warrant for up to 25 million Qualcomm shares, granted to an Amazon investment affiliate, that vests as Amazon buys Qualcomm's data-centre products, up to a cap of $60 billion in payments. The customer is now also an investor, and the investment pays out only if the customer keeps buying.

The deal

On 8 September 2026 Qualcomm announced a multi-generation collaboration with Amazon to enable customised silicon at scale for large AI data centres, working together on AI inference, plus optical connectivity extending up to 1.6T using Qualcomm's SerDes and optical DSP technology. Qualcomm will also expand its use of AWS, including Amazon Bedrock, for chip-design workloads. Chief executive Cristiano Amon said Qualcomm brings 'decades of leadership in advanced processing and power-efficient compute' to the next generation of AI infrastructure.

The filing fills in the mechanics. The warrant, dated 3 September and disclosed on 8 September, is exercisable at $161.26 per share until September 2036, with cashless exercise permitted. Of the 25 million shares, 3.75 million vested on issuance; the remainder vests in tranches tied to commercial arrangements, binding purchase orders and actual purchases by Amazon Data Services and affiliates of server chip products, technology, systems and manufacturing services, up to the $60 billion cap. The cap is a vesting ceiling, not a purchase commitment.

The pattern

Reuters put the warrants' value at about $4 billion and noted the precedent: Marvell's custom-chip deal with Google gave Google the right to buy a stake worth up to $12.2 billion. Amazon's own chip business is already large; Reuters reports an annualised run-rate above $25 billion at the end of the June quarter. Qualcomm, which Reuters says expects its data-centre business to reach $15 billion in revenue by 2029, gains its biggest validation yet outside phones. Its optics capability traces to the $2.4 billion acquisition of AlphaWave, whose chief executive now runs Qualcomm's data-centre chip unit.

Markets read it as validation. Reuters reported the shares up more than 3% early; CNBC reported a 10% jump during the session. Bob O'Donnell of TECHnalysis Research told Reuters the deal was 'exactly the kind of development that Qualcomm needed to reassure the market that the lofty data-center ambitions they set for themselves could indeed be met.'

What changes

  • Inference silicon becomes a multi-vendor market with hyperscaler capital behind each entrant, alongside Amazon's own Trainium and Inferentia lines.
  • Optical interconnect at 1.6T is now part of chip deals, not a separate networking purchase.
  • Suppliers' roadmaps bend toward the customer that holds the warrant, which is good for Amazon and a question for everyone else buying from Qualcomm.
  • Qualcomm's post-Apple-modem strategy has a concrete anchor customer.

Who benefits, who is at risk

Beneficiaries: Qualcomm, which converts a strategic hope into a contracted roadmap; Amazon, which gets custom inference silicon and a financial stake in its supplier; and the optics and packaging suppliers beneath them. At risk: merchant accelerator vendors facing another hyperscaler-funded alternative, and smaller cloud providers who cannot offer equity to secure supply.

  • More equity-for-orders structures between hyperscalers and chip suppliers follow the Marvell and Qualcomm templates.
